Provider Agreement
Effective date: January 1, 2026 · Last updated: January 1, 2026
1. Independent Contractor Status
You (“Provider”) are an independent business, not an employee, agent, partner, joint venture, or franchise of Prelude. This Agreement does not create an employment relationship of any kind.
Prelude does not control how you deliver your services, set your curriculum, manage your staff, or operate your business. You retain full control over your operations. Prelude provides a marketplace platform through which families may discover and book your services.
2. Platform Fee
Prelude charges a platform fee of 15% of each completed booking. You receive 85% of the member price for each session booked through the platform, paid via Stripe Connect within the standard payout timeline. Prelude may update the platform fee with 30 days’ written notice.
3. Insurance Requirements
As a condition of listing on Prelude, you must maintain and provide proof of:
- General liability insurance: Minimum $1,000,000 per occurrence, $2,000,000 aggregate
- Additional insured endorsement: Prelude must be named as an additional insured on your policy
- Any additional coverage required by California law for your specific activity type
You must provide a current Certificate of Insurance (COI) before your listings go live and upon each policy renewal. Prelude reserves the right to suspend listings if insurance lapses.
4. Child Safety and Background Checks
Because your services involve minors, you must:
- Conduct background checks on all staff and volunteers who will have direct, unsupervised contact with children
- Maintain a written child protection policy and ensure all staff are trained on it
- Comply with California mandatory reporting laws (Penal Code § 11166). Staff working with children may be mandated reporters.
- Immediately report to Prelude any incident, allegation, or concern involving child safety at safety@preludela.com
- Maintain appropriate staff-to-child ratios for your activity type and age group
Failure to maintain these standards is grounds for immediate removal from the platform.
5. Licensing and Compliance
You are solely responsible for obtaining and maintaining all required business licenses, permits, certifications, and approvals required by law to operate your business and offer your services. You must provide documentation upon request. Prelude may suspend or remove listings if required licenses cannot be verified.
6. Listing Accuracy
You are responsible for the accuracy of all listing content, including program descriptions, age ranges, prices, session details, and safety requirements. You must update listings promptly when information changes. Prelude is not liable for claims arising from inaccurate listing information.
7. Indemnification
You agree to indemnify, defend, and hold harmless Prelude and its officers, directors, employees, and agents from any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising from: (a) your services, facilities, or staff; (b) your breach of this Agreement; (c) your violation of any law or regulation; or (d) any injury, loss, or harm suffered by a participant in your programs.
8. Conduct Standards and Removal
Prelude reserves the right to remove any Provider from the platform at its sole discretion for any of the following:
- Any substantiated safety concern involving a child
- Lapse in required insurance or licensing
- Verified false or misleading listing content
- Repeated unresolved complaints from families
- Any conduct inconsistent with the safety and wellbeing of children
9. Governing Law
This Agreement is governed by the laws of the State of California. Any disputes will be resolved in Los Angeles County, California.
